Terms of Use

These terms and conditions (the "T&Cs") apply to the website www.avveclothing.com (the "Site") and form the terms and conditions on which we supply products and services to you. Please read through the T&Cs prior to using the Site. Your use of the Site shall serve as indication that you have read and accept to adhere to these T&Cs. 

All of our online service rendered through the Site, are provided by AVVE Pte Ltd ("AVVE", "we", "us" and "our") (Company Registration No. 202201253W), a private limited liability company, incorporated under the laws of Singapore with its registered address at 6 Ardmore Park, #07-00 Juniper at Ardmore, Singapore 259953. Product Information and Descriptions

We have used our best endeavors to ensure that all information, graphics, audio, video and other content appearing on the Site (the "Content") are correct and accurate as at the time of publication. We do not warrant or represent that the Content provided on the Site including, without limitation, the prices, images, descriptions, specifications and indications of availability are accurate, complete, reliable, current, or error-free. We reserve the right to correct any inaccuracies, omissions or errors, and to update or amend the information on the Site at any time without notice.

Third Party Sites

We may provide on the Site links or references to other websites, services and/or mobile applications of third parties (“Third Party Sites”) that may be of relevance or interest to you. You acknowledge that we have no control over, and are not responsible for, the content on any Third Party Site or for any damage or loss you may incur from your access and/or use of any Third Party Site, and you hereby waive any claim against us with respect to any Third Party Site. The display of any link and/or reference to any Third Party Site does not constitute any endorsement by us of such Third Party Site or any content displayed therein.

User Accounts

Some of the services on the Site require you to register for a user account. During the registration process, you will be required to provide information, including personal data, to us. Any such personal data will be held in accordance with the terms of our Privacy Policy. We shall be entitled to act upon, rely on and hold you responsible for any access and use of information and/or communication transmitted through such user account(s). We reserve the right, in our sole discretion and without notice, to disable, deactivate and/or terminate any account for any reason including, without limitation, if you have failed to comply with any of the provisions of these T&Cs.

Orders

The information and details on the Site do not constitute an offer for sale, but an invitation to treat. By placing an order, this constitutes an offer by you to purchase the product(s) in your order from us. A contract between you and us for the sale and purchase of the product(s) in your order shall only be formed when your order is accepted by us, such acceptance being evidenced by our written notification to you (sent via email) that your order has been confirmed. We reserve the right to accept or decline any order in our sole and absolute discretion without assigning any reason.

Payment and Delivery

The price payable for a product is the price listed on the Site. We reserve the right to amend the price of any product at any time without giving any reason or prior notice. Unless otherwise stated, prices are in Singapore dollars (S$) and prices specified in any other currency are for reference purposes only. Any orders that are unpaid after the specified payment timeframe shall be canceled automatically unless we determine otherwise in our discretion.

Each order will be delivered to the address specified therein. We shall not have any responsibility to enquire into the form, correctness or completeness of any address provided. Any delivery times and dates specified on the Site or stated by us are only estimates and the time taken for delivery may be longer. Deliveries for orders are services provided by external third parties and we shall not be liable for any delay in the delivery of your order. Prohibited Activities

You undertake that you shall not:

a) use the Site and/or the Content and/or our services or products and/or your user account for any illegal, unlawful or unauthorized purpose and/or any other purpose not expressly authorized by us;

b) attempt to gain unauthorized access to the Site and/or any other user account to disrupt, interfere with, hack into or otherwise impair the proper working of the Site, or otherwise interfere or disrupt other computer systems or networks that may be connected to the Site; and

c) post or transmit through the Site any material that contains any computer virus or other invasive or damaging code, program or macro; infringes any third-party intellectual property or any other proprietary rights; and/or any such information, data or material that may be defamatory, libellous or threatening or is obscene, pornographic, indecent, counterfeited, fraudulent, stolen, harmful or otherwise illegal under any applicable law or regulation; and/or is or may be construed as offensive and/or otherwise objectionable, in our sole opinion.

Intellectual Property 

All intellectual property rights including, without limitation, copyright, trademarks, design rights and patents, in the Site, the content and any material published therein (collectively, the “Materials”) are owned by or lawfully licensed to us. You are granted a personal, non-exclusive, revocable, non-assignable and non-transferrable licence to use and view the Materials solely for your personal use only. Save as aforesaid, you shall not, without our prior written consent, copy, reproduce, modify, republish, upload, post, transmit, adapt, download, distribute or howsoever deal with any Materials in any form or by any means. Save as expressly provided herein, all rights in and to the Materials shall vest and remain with us and our licensors, and all such rights are expressly reserved.  

Taxes and Duties

You are responsible for the payment of any and all taxes or duties levied or charged on your order (including any taxes or duties payable for the delivery or shipping of your order).

Indemnities 

You agree to indemnify us and hold us and our directors, officers, employees, consultants, suppliers, licensors, contractors, partners, affiliates, agents and representatives harmless from any claims, losses, damages, costs and expenses (including, without limitation, legal fees) arising out of your access of, use of and/or participation in the Site and/or any Materials.

Governing Law

These T&Cs, along with any other agreements issued to you in writing (if applicable) shall be governed by and construed in accordance with the laws of Singapore. In the event of any dispute, you hereby agree to submit to the exclusive jurisdiction of the Courts of Singapore.
